Effective Business Structuring for Tax, Asset Protection and Growth

Starting or growing a business comes with plenty of exciting milestones: choosing a name, launching your website and signing your first client. It is easy to push the behind-the-scenes decisions aside while you focus on building the business.

Your business structure is one decision that shapes everything else, including your tax position, asset protection, compliance obligations and future options for growth, bringing in partners or selling the business.

At All Square Accountants, we provide business structuring advice based on your goals, risk profile and future plans. Whether you are starting a new business or your current structure no longer suits where you are heading, we help you choose a structure that supports your long-term goals.

Service Structuring Intro

Why Does Business Structuring Matter So Much?

Because the cost of getting it wrong doesn’t show up on day one. It
shows up years later.

A structure that suited you as a sole trader can quietly cost you
thousands a year in tax, leave personal assets exposed, or rule you
out of concessions worth far more when you sell.

Changing it later is possible, but it can trigger tax and legal costs
that dwarf setting it up properly in the first place. The earlier you
look at it, the more options you have.

Understanding Your Business Structure Options

Your business structure shapes your tax position, ongoing costs, and how much control and flexibility you keep as the business grows.

Here’s a quick overview of the four common structures used by Australian business owners:

  • Sole Trader – The most straightforward structure. You run the business under your own name (or a registered business name) and you are personally responsible for all debts and obligations.
  • Partnership – Two or more people or entities running a business together, sharing profits and losses. Each partner can be held liable for the partnership’s debts, including those incurred by other partners.
  • Company – A separate legal entity from its owners. Owners hold shares in the company, and liability is generally limited to what they’ve invested, subject to certain exceptions.
  • Trust – An arrangement where a trustee holds and manages assets on behalf of beneficiaries, according to the terms set out in the trust deed.

There’s no universal “best” structure, as each comes with its own tax treatment, compliance obligations, costs and level of protection.

The right choice depends on your goals, your industry, your risk exposure and how you plan to grow (or exit).

Talk to our team about your situation and we’ll help map out the structure that suits you best, now and as your business evolves.

Four Things Your Structure Decides

  1. What you pay each year – Different structures are taxed differently. Not about avoiding tax; about not paying more than the law asks.
  2. What you keep when you sell – The small business CGT concessions can be worth hundreds of thousands at exit, and eligibility depends on decisions made years earlier. This is the one people find out about too late.
  3. What’s exposed if it goes wrong – A company limits liability, but not as much as you think. If you’ve personally guaranteed the bank, the lease and the equipment finance, the structure won’t help you there. What it can do is keep the valuable things out of the entity carrying the risk, and that only works if it’s done before there’s a problem.
  4. How hard it is to get out – CGT, transfer duty and GST all land at exit. And if you hold a QBCC licence, it doesn’t automatically come with you.

The honest part: every layer of protection costs money to run. A structure that’s right for a $5m group is overkill for a sole trader, and we’ll tell you when you don’t need one.

When’s It Worth Reviewing?
Your first employee. Your first property. Turnover crossing a threshold. A partner joining. Kids coming in. Eighteen months before you sell.

What Our Clients Say

Don’t Just Take Our Word For It

I’ve been doing my personal tax returns with Bruno for over 10 years, so when I recently joined my husband in his business, there was no question that we’d move everything over to All Square Accountants.

My husband’s books were a bit of a mess, but Bruno and Matheus have been amazing. They took the time to really listen and understand our situation, and they’ve been helping us get everything organised so we can start fresh and keep things on track from now on.

Every time I have a question, they’re always happy to help and explain things clearly. Nothing ever feels like too much trouble, and it’s such a relief knowing we have accountants we can genuinely trust.

We’re so grateful for all their help and couldn’t be happier with the service we’ve received. I highly recommend All Square Accountants to anyone looking for knowledgeable, reliable, and genuinely caring accountants.

They are very good with numbers, but fortunately, also very good with people. Highly recommended!

Frequently Asked Questions

Will my business structure affect how I pay myself?

Yes, how you draw income (salary, dividends, distributions or drawings) depends heavily on your structure, and each option has different tax and compliance implications. We’ll walk you through what applies to your situation.

We start by understanding your business, goals and risk tolerance, then recommend a structure suited to those needs. From there we handle the setup and make sure everything is compliant from day one.

A company structure isn’t for everyone, but it may suit you if you want limited liability, plan to grow or bring on investors, or prefer a more tax-effective setup as profits increase. It also comes with extra admin responsibilities – such as ASIC annual review and meeting your legal responsibilities as a director.

It depends entirely on your circumstances including income level, growth plans, risk profile and long-term goals all play a part. There’s no single “most tax-effective” structure that suits everyone, which is exactly why tailored advice matters.
